Job Description

Position Summary

Under direct supervision, this position supports the internal legal team, reporting directly to the associate general counsel.

Supervisor Responsibilities

This position does not have formal supervisory responsibilities over other employees.

 Essential Duties and Responsibilities

  • Team Player; take initiative; and attention to detail
  • Follow instructions, both written and oral
  • Be able to review multiple documents for specific provisions
  • Draft, answer and proofread correspondence with attention to accuracy, grammar and spelling
  • Prepare courier packages for delivery and confirm the correct documents are delivered to the intended recipients
  • Administer and coordinate several internal legal tracking functions
  • Obtain signatures on contracts and corporate documents
  • File corporate records of companies, contracts and legal correspondence
  • Accurate Word Processing skills and back up other administrators, including answering phones and overflow matters
  • Prepare power point presentations and meeting materials
  • Prepare standard re-occurring notices and follow through (e.g. trading blackouts, litigation holds)
  • Secretary of State filings and research Delaware and other corporate statutes
  • Assist with contracts management system
  • Research corporate records
  • Make travel arrangements and prepare expense reports
  • Act as liaison with legal service vendors
  • Coordinate document requests from legal files
  • Manage expenses related to the corporate governance vendors and franchise taxes of subsidiaries
  • Locate SEC filings in SEC database (EDGAR)
  • Assist with document preparation on various types of entities, foreign and domestic; including minutes, annual board and shareholder resolutions, stock certificates and stock transfer documentation (both hard copy and electronic copy as required)
  • Assist attorneys on due diligence matters
  • Assist attorneys with management and coordination of document retention policy

Job Requirements

Typical Physical Demands

Requires prolonged sitting, some bending, stooping and stretching. Requires constant data input for extended periods of time without leaving the work area. Occasionally lifting files or paper weighing up to 30 pounds. Requires eye-hand coordination and manual dexterity sufficient to operate a keyboard, photocopier, telephone, calculator, and other office equipment. Requires normal range of hearing and eyesight to record, prepare, and communicate appropriate reports. Requires mobility sufficient to travel.

Typical Working Conditions

Normal office environment.

 Computer Skills

Proficient at Word, Excel, and Power point and record databases used by department and knowledge of Internet resources.

 Education and Experience

  • Bachelor’s degree (B.A.) from four-year college or university preferred; Associate Degree (A.S.) from accredited community college acceptable.Minimum 2 years to 4 years legal assistant work experience preferred.
