Position Summary

Corporate Counsel will act as a legal advisor to the US operations team and mine sites. Responsible for counseling business partners in corporate governance, subsidiary management, maintaining compliance related to applicable debt covenants and financing agreements, assisting with the organization and ongoing organization of the BOD materials, minutes, consents, resolutions, etc. Will also assist as needed on contractual, employment, land operations, regulatory, and health/safety matters. This position has developed specialization and takes a leadership role in critical areas of law and requires the use of initiative and judgment.

Essential Duties and Responsibilities

  • Assisting with US legal activities, including corporate governance, subsidiary management, debt compliance, BOD material management, land operations, environmental, permitting, employment, regulatory, litigation, and health and safety matters.
  • Negotiate, review, and draft agreements including joint venture agreements, purchase and sale agreements, supply agreements, NDA/confidentiality agreements, and other contractual instruments related to company’s operations.
  • Work with outside counsel and managing external legal projects. Provide legal advice and counsel on a variety of legal and regulatory issues.
  • Partner with local, state and federal agencies on regulatory matters.
  • Provide proactive counsel and support to ensure operations compliance with local, state and federal laws and regulations.
  • Manage and direct litigation by consistently exercising sound judgment in job performance.
  • Compliance with all company policies and procedures including, but not limited to safety, environmental, confidentiality and code of conduct.

Job Requirements

Education and Experience

  • Juris Doctorate from an accredited law school.
  • Minimum 3 years of related work experience which includes experience with corporate experience either at a law firm, in-house, or a combination
  • Mining or natural resources experience is a plus.
  • Any equivalent combination of training, education, and experience that provides the required skills, knowledge and abilities.
